Articles of Association specifies the regulations for a company’s operations and defines the company’s purpose.

Under the Companies Act 2006, the UK government requires companies to create Articles of Association during incorporation. The Articles of Association provide the written rules about running the company as agreed by the shareholders or guarantors, directors and the company secretary.

The Articles of Association regulate a company’s internal affairs, including the issue and transfer of shares, board and shareholder meetings, powers and duties of directors, dividends, borrowing powers, etc. The articles are held for public inspection at Companies House.

Companies can either use standard articles (known as ‘model articles’) or write their own (subject to relevant provisions of the Companies Acts).

Model Articles of Association are the default rules for incorporating companies under the Companies Act 2006. Companies House, for registry of limited companies, provides model articles.

Although a set of Articles of Association do not have a prescribed format, they must comply with the 2006 Act. Most Articles of Association will usually contain information about:

  • Company type: private or public limited company
  • Company structure: whether the company has a sole director or multiple directors
  • Shares and distributions: the number of share classes and share transfer and redeemability details
  • Shareholder decision-making process: the rules and requirements for shareholder meetings
  • Liabilities of shareholders: outlines shareholders’ liabilities and responsibilities
  • Directors’ powers and responsibilities: the number of directors, and their capabilities and limitations
  • Directors’ decision-making process: the rules and requirements for director meetings
  • Appointment of directors: the rules for appointing new directors
  • Dividends and other distributions: how the company pays dividends and other distributions
