Under the Companies Act 2006, the UK government requires companies to create Articles of Association during incorporation. The Articles of Association provide the written rules about running the company as agreed by the shareholders or guarantors, directors and the company secretary.
The Articles of Association regulate a company’s internal affairs, including the issue and transfer of shares, board and shareholder meetings, powers and duties of directors, dividends, borrowing powers, etc. The articles are held for public inspection at Companies House.
Companies can either use standard articles (known as ‘model articles’) or write their own (subject to relevant provisions of the Companies Acts).
Model Articles of Association are the default rules for incorporating companies under the Companies Act 2006. Companies House, for registry of limited companies, provides model articles.
